Terms of Service

1. Who you are agreeing with

These Terms of Service are an agreement between you and StrukturAI, LLC, a Delaware limited liability company that operates Learnatist and the Learnatist.com website and services ("Learnatist," "we," "us"). "You" means you personally, and if you use Learnatist on behalf of a business or organization, that business or organization as well — and you represent that you are authorized to bind it.

By using Learnatist, creating an account, or claiming a listing, you agree to these Terms. If you do not agree, do not use Learnatist.

2. What Learnatist is — and what it is not

Learnatist is a directory. We publish information about children's education providers in New York City so that families can find and compare programs.

We are not a referral service, an agency, a broker, or a party to anything you arrange with a provider. A listing is not a recommendation, an endorsement, or a certification.

We do not vet providers. We do not verify licenses, credentials, accreditation, insurance, staff qualifications, or background checks, and we do not inspect facilities. Nothing on Learnatist should be treated as a substitute for your own diligence in choosing who cares for or teaches your child.

What "verified" means on Learnatist. A listing marked "verified," and the "Verified" badge, mean one thing only: someone demonstrated to us that they are authorized to manage that listing, and they confirmed its contents. It does not mean we checked their licensing, credentials, insurance, safety record, or background, because we did not. We use the word in this narrow sense everywhere it appears on the site.

Paid placement. Some providers pay us for placement in search results. Paid placements are labeled as such wherever they appear. Paying us affects where a listing appears; it does not affect whether a listing is marked "verified," and it does not buy any assessment of quality, safety, or suitability.

3. Where listings come from, and who controls them

Listings on Learnatist come from two places:

Listings we compiled. We assemble information about providers from publicly available sources and organize and summarize it, including with automated and AI-assisted tools, into a consistent format. Most listings currently on Learnatist were created this way. The provider did not submit them, did not approve them, and has no relationship with us by virtue of being listed.

Listings maintained by the provider. A provider can claim their listing and take over its content.

Provider-supplied information supersedes information we compiled. Once a provider claims a listing, what they publish is their content, not ours.

Any provider may have their listing corrected or removed, free, on request, without giving a reason. Email privacy@learnatist.com. We aim to act within 10 business days. We do not condition removal on payment, on creating an account, or on anything else.

4. Claiming a listing

To claim a listing you must create an account and demonstrate that you are authorized to act for the business. We may ask for verification and may refuse or reverse a claim if we are not satisfied — including if we receive a competing claim.

You are responsible for your account credentials and for everything done through your account. Tell us promptly at legal@learnatist.com if you believe your account has been compromised.

Claiming a listing is free. It does not obligate you to buy anything.

5. Content you provide

You keep ownership of what you upload. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for formatting and display, publish, and distribute your content in connection with operating and promoting Learnatist. This license lasts while your content is on Learnatist and for a reasonable period afterward for backups and archival copies.

You promise us that: you have the right to provide the content and grant this license; the content is accurate and not misleading; it does not infringe anyone's intellectual property, privacy, or publicity rights; and it complies with applicable law, including any licensing or advertising rules that apply to your kind of program.

Images of children. If you upload a photograph or other identifying information of a minor, you represent that you have obtained every consent required by law from that minor's parent or legal guardian for its publication on a public website. This is your responsibility, not ours. We may remove any such content at any time, for any reason or none.

We can remove content. We may remove or refuse any content that we believe violates these Terms or the law, or that creates risk for us or our users. We are not obligated to monitor content, and choosing to review some content does not obligate us to review all of it.

6. Accuracy — two different things

Content we compiled. Listings we assembled from public sources are provided on a best-effort basis. Public sources go out of date, and automated summarization can introduce errors. We do not warrant that compiled listing content is accurate, current, or complete. If you find something wrong — whether it is about your own business or someone else's — tell us at privacy@learnatist.com and we will correct or remove it.

Content providers supplied. Content published by a provider is that provider's content and their responsibility. We do not verify it and we do not warrant it.

In both cases, prices, schedules, availability, and program details change frequently. Confirm directly with the provider before relying on anything you read here.

7. Acceptable use

Do not: use Learnatist for any unlawful purpose; scrape, crawl, or bulk-download the site except as our robots.txt permits; attempt to access accounts, data, or systems you are not authorized to access; interfere with or overload the service; misrepresent who you are or your authority to act for a business; upload malicious code; submit false, defamatory, or harassing content; claim a listing you are not authorized to claim; or use Learnatist to collect personal information about other users.

8. Paid services

Some features are offered for a fee. If you buy one:

Prices and what is included are shown at the point of purchase. Payment is processed by Stripe; your payment is also subject to Stripe's terms. Charges appear on your statement as LEARNATIST.

Subscriptions renew automatically for successive terms at the then-current price until cancelled. You can cancel at any time from your account settings, effective at the end of the current billing period. We will give at least 30 days' notice by email before any price increase applies to you.

Refunds. If you are not satisfied, we will refund your most recent payment, no questions asked. Ask us at legal@learnatist.com within 30 days of that charge. The refund covers that one payment only, not earlier payments in the same subscription. A refund ends the subscription — paid features stop when we issue it, and your listing reverts to the free tier. Your listing itself is not affected, and you can subscribe again later.

What paid plans do and do not buy. Premium and Platinum plans buy placement in search results, additional profile features, and reporting. They are labeled as paid placement wherever they appear to families. They do not buy a "verified" mark, an endorsement, or any assessment of your program. They do not change how we handle correction or removal requests about you or about anyone else.

Paying is never required to have a listing corrected or removed, and cancelling a paid plan never affects your right to have your listing corrected or removed.

Content we write for you. Platinum includes blog content generated with AI-assisted tools. You are responsible for reviewing anything we generate for you before it is published under your name or about your business, and for making sure it is accurate and complies with any advertising or licensing rules that apply to you. Once you approve it, it is your content under Section 5. We do not warrant that generated content is accurate, original, or fit for any purpose.

Competitor insights. Reporting we provide about other providers is derived from publicly available information and from activity on Learnatist, and is provided in aggregate. You may use it for your own business planning. You may not resell it, republish it, or use it to contact or target individuals.

8A. The embeddable badge

We offer verified providers an embeddable badge to display on their own website.

You may display the badge only on a site you operate, only while your listing is verified and in good standing, and only in the form we supply. You may not alter it or imply anything about your listing that these Terms do not support. We may revoke the badge licence at any time.

Note for providers about visitor data: the badge is an image served from our servers. When someone visits a page where you have installed it, our servers receive that visitor's IP address, browser information, and the address of the page they were on — the same information any embedded image discloses. We use this only to serve the badge and to count badge impressions for your reporting. You are responsible for whatever disclosure your own privacy policy needs to make about embedded third-party content on your site.

9. Our intellectual property

Learnatist, our logo, the site design, our software, and our compilation, organization, and presentation of the directory are owned by StrukturAI, LLC and protected by intellectual property law. These Terms grant you no license to them beyond using the site as intended.

10. Copyright complaints

If you believe content on Learnatist infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) to copyright@learnatist.com, or to our postal address below addressed to the Copyright Agent. We will respond appropriately, including by removing content and terminating repeat infringers.

Our designated agent is registered with the U.S. Copyright Office.

11. Third-party links

Listings and pages may link to provider websites and other third-party sites. We do not control them and are not responsible for them.

12. Disclaimers

Learnatist is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, secure, or error-free.

We are not responsible for the conduct of any provider, or for anything that happens between you and a provider, online or in person. Choosing a program for your child is your decision.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, neither StrukturAI, LLC nor its members, managers, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of Learnatist — even if we were advised such damages were possible.

Our total liability for all claims relating to Learnatist will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) $100.

These limits apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow these limits, so they may not apply to you.

14. Indemnification

You will indemnify and hold harmless StrukturAI, LLC and its members, managers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your content, your use of Learnatist, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

You may stop using Learnatist and close your account at any time.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if continuing to provide the service to you creates material risk for us or our users. Where practical, we will give notice and an opportunity to fix the problem.

Sections 5 (the license, for content still published), 6, 9, 12, 13, 14, 16, and 17 survive termination.

16. Disputes

Talk to us first. Before filing anything, send a written description of the dispute and the relief you want to legal@learnatist.com. We will do the same for you. Give us 30 days to resolve it. Most problems on a directory are removal or correction problems, and we will fix those without any of this.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and waive any objection to venue there. Nothing in this section prevents either of us from bringing a claim in small claims court.

17. General

Changes. We may update these Terms. If a change is material, we will update the date above and give notice before it takes effect. Continuing to use Learnatist after that means you accept the change. If you do not accept it, stop using Learnatist and close your account.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about Learnatist and replace any prior version.

Severability. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the rest stays in force.

No waiver. If we do not enforce a provision, that is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

No third-party beneficiaries.
